TERMS OF USE

SN is an online concierge procurement service that helps buyers of metal products find the best prices, availability and delivery times. SN DOES NOT sell products; rather, products are sold by the suppliers who we contact and eventually directly connect to customers. SN provides a service to help reduce the time expenditure by customers in procuring metals. SN offers this concierge procurement service free of charge.

Product listings are for illustrative purposes; SN does not guarantee that listed prices are available for any particular buyer. Actual prices may vary depending upon suppliers and customer needs. If the buyer finds an offering interesting, it can add the material to the its shopping cart. The details of this transaction, including, but not limited to time of delivery, final price, quality, and quantity, will be negotiated directly by the buyer and seller after SN has connected both parties and removed itself from the transaction. All listings exclude applicable local, state, provincial and national tax as well as tariffs.

A Checkout only signifies a buyer’s intent to purchase materials. The buyer will be connected with a potential supplier by SN. The terms of that transaction will be worked out by the connected buyer and seller and will not involve SN. Either the buyer or the connected supplier can withdraw from its intent to transact at any time prior to finalization of agreement between them. transact[OA2] . SN has no power over the connected parties’ (buyer and seller) willingness to complete a transaction.

Money and payment terms will be decided and handled directly between the buyer and seller. Funds are NOT handled by SN. All purchasing related issues including but not limited to refunds, issues with materials, mill certifications, and missed delivery windows shall be resolved directly between the connected buyer and seller.

To the full extent permitted by law, SN, SteelNow, LLC., and its officers, directors, employees, agents, licensors, affiliates, clients, and successors in interest ("SteelNow") (1) make no promises, warranties, or representations as to SN or any metal supplied by suppliers connected to a buyer by SN, including its completeness, suitability, accuracy, availability, timeliness, proprietary, security or reliability; (2) provide SN on an "AS IS" and "AS AVAILABLE" basis and any risk of using SN is assumed by you; (3) with respect to the SN site and any product supplied by any supplier connected to a buyer by SN disclaim all warranties, express or implied, including as to accuracy, merchantability, fitness for a particular purpose, and non-infringement; and (4) disclaim any liability or responsibility for acts, omissions, or conduct of you, the supplier, or any party in connection with SN. SteelNow is NOT liable for any direct, indirect, consequential, incidental, special, punitive, or other losses, including lost profits, revenues, data, goodwill, etc., arising from or related to SN, and in no event shall such liability exceed $100 or the amount you paid us in the year preceding such loss[OA3] . Some jurisdictions restrict or alter these disclaimers and limits, so some may not apply to you.

Without limiting the foregoing, SN makes no warranty or guarantee (i) regarding the acceptance of any request, (ii) that a buyer will receive the lowest available price for goods and/or services available through this site, (iii) regarding the availability of products and/or services through this site or, where applicable, at any supplier, or (iv) regarding the results that may be obtained from the use of this site.

Any claim, cause of action, demand, or dispute arising from or related to SN ("Claims") will be governed by the internal laws of State of New York, without regard to conflict of law provisions, except to the extent governed by US federal law. Any Claims will be exclusively resolved by courts in New York, New York (except we may seek preliminary or injunctive relief anywhere). You agree to (1) submit to the personal jurisdiction of courts in New York, New York; (2) indemnify and hold SteelNow harmless from any Claims, losses, liability, or expenses (including attorneys' fees) that arise from a third party and relate to your use of SN; and (3) be liable and responsible for any Claims we may have against your officers, directors, employees, agents, affiliates, or any other party, directly or indirectly, paid, directed or controlled by you, or acting for your benefit.
